Volvicon Software License Agreement

IMPORTANT – READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you (either an individual or a single legal entity, referred to as "Licensee," "you," or "your") and Volvicon Software ("Volvicon," "we," "us," or "our") for the Volvicon software product, which includes computer software, associated media, printed materials, electronic documentation, and any updates or supplements thereto (collectively, the "Software").

By installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not install or use the Software and promptly return it to the place of purchase for a refund.

1. Definitions​

UpgradeA new major version release of the Software with significant new features

2. License Grant​

Subject to the terms and conditions of this Agreement and payment of all applicable fees, Volvicon grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the license type you have purchased.

2.1 License Types and Tiers​

Volvicon uses tier-based licensing. Feature access is determined by license tier, while optional add-on modules are licensed separately.

Trial License (Ultimate tier)​

  • 30-day evaluation period
  • Full feature access (Ultimate tier) during evaluation
  • Non-commercial, evaluation use only

Standard License (Standard tier)​

  • Core visualization and analysis features
  • Commercial use permitted
  • Subscription or perpetual options

Professional License (Professional tier)​

  • Standard features plus Professional-tier features (Volume Mesh Tools, AI Segmentation, and Custom Scripting including Python automation, custom ribbon script buttons, and CLI --py_script)
  • Commercial use permitted
  • Subscription or perpetual options

Ultimate License (Ultimate tier)​

  • All features including enterprise capabilities
  • Commercial use permitted
  • Subscription or perpetual options

Research License (Ultimate tier)​

  • Non-commercial academic or institutional research use only
  • Ultimate-tier feature access
  • Subscription-based

Student License (Professional tier)​

  • Educational use only
  • Professional-tier feature access
  • Time-limited (typically 1-year, renewable with proof of enrollment)

Add-On Modules​

  • CT Reconstruction is an optional add-on module available for any tier and must be licensed separately

2.2 License Scope​

Your license permits you to:

  1. Install and use the Software on the number of computers specified by your license type
  2. Make one (1) backup copy of the Software for archival purposes
  3. Use the Software to process your own data or data you have legal rights to process
  4. Transfer the Software to another computer owned or controlled by you, provided you completely remove the Software from the original computer

3. License Restrictions​

You may not:

  1. Copy, modify, or distribute – Copy, modify, adapt, translate, or create derivative works based on the Software, except as expressly permitted
  2. Reverse engineer – Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law
  3. Transfer or assign – Rent, lease, lend, sell, sublicense, or transfer the Software or your rights under this Agreement to any third party without prior written consent from Volvicon
  4. Remove notices – Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  5. Circumvent protections – Bypass, disable, or interfere with license validation, copy protection, or security features
  6. Use for unlawful purposes – Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
  7. Exceed authorized use – Allow more users to access the Software than authorized by your license
  8. Clinical use – Use the Software for medical diagnosis, treatment planning, or other clinical applications. Volvicon is not a medical device, and medical editions are reserved for future use.

4. Intellectual Property Rights​

The Software is licensed, not sold. Volvicon and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Volvicon.

4.1 Third-Party Components​

The Software may include third-party libraries and components subject to their own license terms. A list of third-party components and their licenses is available in the Software's documentation and in the installation directory.

4.2 Your Data​

You retain all rights to the data you process using the Software. Volvicon claims no ownership of your data, projects, or analysis results.

5. Updates and Upgrades​

5.1 Updates​

During an active subscription or maintenance term, you are entitled to receive Updates at no additional cost. Updates are installed at your discretion.

5.2 Upgrades​

Upgrades to new major versions are included in subscription licenses during the subscription term. For perpetual licenses, upgrades are included during the first year and thereafter available at upgrade pricing.

5.3 No Obligation​

Volvicon is under no obligation to provide Updates, Upgrades, or support for previous versions of the Software beyond the terms specified in our Product Lifecycle Policy.

6. Term and Termination​

6.1 Term​

  • Subscription licenses remain in effect for the subscription term specified at purchase and automatically renew unless canceled
  • Perpetual licenses remain in effect indefinitely, subject to compliance with this Agreement
  • Trial licenses remain in effect for the trial period specified

6.2 Termination by Licensee​

You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession.

6.3 Termination by Volvicon​

Volvicon may terminate this Agreement immediately upon written notice if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

6.4 Effect of Termination​

Upon termination or expiration of this Agreement:

  1. All licenses granted hereunder terminate immediately
  2. You must uninstall and destroy all copies of the Software
  3. You may retain your data and project files created using the Software
  4. Provisions that by their nature should survive termination shall survive (including Sections 3, 4, 7, 8, and 9)

7. Disclaimer of Warranties​

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Volvicon does not warrant that:

  • The Software will meet your requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of the Software will be accurate or reliable
  • Any errors in the Software will be corrected

You acknowledge that the Software is not designed, intended, or authorized for use in:

  • Life-critical applications
  • Nuclear facilities
  • Aircraft navigation or control systems
  • Medical devices, diagnosis, or treatment planning (Volvicon is not a medical device)
  • Any application where failure could lead to death, personal injury, or severe property damage

8. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOLVICON OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute goods or services
  • Personal injury or property damage

ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF VOLVICON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.1 Aggregate Liability​

In no event shall Volvicon's total cumulative liability under this Agreement exceed the amount actually paid by you for the Software during the twelve (12) months preceding the claim.

8.2 Essential Purpose​

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Volvicon and you. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

9. Indemnification​

You agree to indemnify, defend, and hold harmless Volvicon and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Software
  2. Your violation of this Agreement
  3. Your violation of any rights of another party
  4. Your data processed using the Software

10. Export Compliance​

The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and regulations of the United States and other applicable jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to applicable trade sanctions.

11. Government Users​

If you are a U.S. government entity or using the Software on behalf of a U.S. government entity, the Software is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in 48 C.F.R. §2.101, with only those rights as are granted to all other end users pursuant to the terms and conditions of this Agreement.

12. General Provisions​

12.1 Governing Law​

This Agreement shall be governed by and construed in accordance with the laws of [Applicable Jurisdiction], without regard to its conflict of law principles.

12.2 Dispute Resolution​

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of [Applicable Arbitration Association], except that either party may seek injunctive relief in any court of competent jurisdiction.

12.3 Entire Agreement​

This Agreement constitutes the entire agreement between you and Volvicon concerning the Software and supersedes all prior or contemporaneous communications, proposals, and representations with respect to the Software.

12.4 Severability​

If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

12.5 Waiver​

The failure of Volvicon to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

12.6 Assignment​

You may not assign or transfer this Agreement or any rights hereunder without the prior written consent of Volvicon. Volvicon may assign this Agreement without restriction.

12.7 Notices​

All notices under this Agreement shall be in writing and shall be deemed delivered when sent via email to the addresses specified in your account or order, or when sent via certified mail to the addresses specified in this Agreement.
